1. Acceptance of these terms
These Terms of Service ("Terms") are a contract between you, acting on behalf of the business that operates a storefront on Quick Commerce (the "Merchant", "you"), and Quick Commerce Technologies LLC, a company registered in Dubai, United Arab Emirates ("Quick Commerce", "we", "us"). By creating an account, signing an order form, or using any part of the platform, you accept these Terms in full.
If you are entering into these Terms on behalf of a company, you confirm that you have the authority to bind that company. If you do not agree with these Terms, do not use the platform.
2. The service
Quick Commerce provides a hosted commerce platform: a storefront and theme engine, a Studio editor, checkout and payment gateway connections, catalogue and order management, and four companion apps (customer, shop admin, picker and delivery) as described on our platform pages. We may add, change or retire individual features over time; we will not remove a feature you rely on without reasonable notice where practical.
The platform lets you run your own delivery operation — pickers, drivers and dispatch. Quick Commerce is not a carrier and does not itself deliver orders; fulfilment is your responsibility as the Merchant.
3. Accounts and eligibility
You must hold a valid trade licence for the activity you sell through your storefront, or otherwise be legally entitled to trade in your jurisdiction. You are responsible for the accuracy of the information you provide when registering, and for keeping staff access (owner, admin, picker, driver roles) up to date, including revoking access promptly when someone leaves.
You are responsible for all activity that happens under your account, including actions taken by staff you have granted access to.
4. Fees and billing
Subscription fees are as set out in your order form or the pricing shown at checkout, billed in advance on a recurring basis. Fees are quoted exclusive of VAT unless stated otherwise; VAT is added where applicable under UAE law. Payment gateway and SMS/WhatsApp provider fees are set by those third parties and passed through, not marked up by us unless disclosed.
If a payment fails, we may suspend access to the platform after reasonable notice until the balance is settled.
5. Merchant responsibilities
You are responsible for the products you list, their pricing, stock accuracy, and compliance with UAE consumer protection, product safety and any sector-specific licensing (for example, food safety permits for restaurants, or the correct handling of restricted categories). You must issue tax-compliant invoices, including your TRN, where VAT registration applies to you.
You must not use the platform for anything prohibited under our Acceptable Use Policy.
6. Payments and gateways
Card, wallet and buy-now-pay-later payments are processed by third-party payment gateways and providers that you connect to your store. We pass order and payment data to the gateway you choose to complete a transaction; we do not hold cardholder data ourselves. Your relationship with each gateway (settlement times, chargebacks, their own fees) is governed by that gateway's own terms.
Cash on delivery and card-on-delivery settlement between drivers and your shop ledger is a feature of the delivery app; it does not make Quick Commerce a party to those cash transactions.
7. Intellectual property
We own the platform, its software, themes and branding. You own your store content — product data, copy, images and your own brand assets — and grant us a licence to host, process and display it as needed to operate the service, including inside your branded apps.
8. Data and privacy
Our Privacy Policy explains how we handle personal data, and our Data Processing Agreement sets out the terms on which we process shopper data on your behalf as your processor. Both are incorporated into these Terms by reference.
9. Suspension and termination
Either party may terminate for convenience with 30 days' written notice. We may suspend or terminate immediately for non-payment after notice, a material breach of these Terms or the Acceptable Use Policy, or where required by law or a payment gateway partner. On termination, you may export your catalogue and order history for a reasonable period before deletion.
10. Limitation of liability
To the maximum extent permitted by UAE law, our aggregate liability arising out of these Terms is limited to the fees you paid us in the three months before the claim arose, and we exclude liability for indirect or consequential loss. Nothing in these Terms limits liability that cannot be limited under UAE law.
11. Governing law and jurisdiction
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-law rules. The courts of Dubai have exclusive jurisdiction over any dispute, subject to any mandatory consumer-protection rules that apply to you.
12. Changes to these terms
We may update these Terms from time to time. We will post the updated version here with a new "last updated" date and, for material changes, notify you by email at least 14 days before they take effect.
